Terms of engagement
The terms on which we act for you. Your engagement letter confirms the specific services and fees for your matter; where it differs from these terms, the engagement letter applies.
1. Who we are
Nevis Formation ("we", "us") provides company, trust and foundation formation and administration services in Nevis. Registered agent services are provided through a partner licensed and supervised in Nevis. References to "you" mean the client named in the engagement letter and, where relevant, the entity we form or administer for you.
2. What we do
We form Nevis LLCs, IBCs, International Exempt Trusts, private trust companies and Multiform Foundations; provide registered agent and registered office services; arrange nominee services where agreed; introduce you to banks and electronic money institutions; and provide ongoing administration, including the annual CIT-101 filing. We also provide company searches and certificates of good standing to non-clients, as described on our services page.
What we don't do. We don't give legal, tax or investment advice in your country of residence, and we don't guarantee that any bank will open an account. We coordinate with your own advisers, who remain responsible for advice on your personal position.
3. Your responsibilities
- Give us complete, accurate information and tell us promptly if anything changes, including ownership, control, residence or the company's activities.
- Provide the know-your-client documents we ask for, certified where required, before we file and whenever we update our records.
- Comply with the tax and reporting obligations of every country where you or the entity have them.
- Keep proper books and records for the entity, as Nevis law requires.
- Pay our fees and government fees when due.
4. Due diligence and our right to decline
Every engagement is subject to our client acceptance policy and to anti-money-laundering law. We may decline an engagement, or stop acting, if due diligence isn't completed to our satisfaction. The registered agent won't continue to act for any company where there is evidence of improper activity.
5. Fees and payment
- Our fees are set out on our fees page and confirmed in writing before work begins. They include Nevis government fees and the first year of registered agent service unless stated otherwise.
- Costs outside our control, such as bank charges, notarisation, certification, apostilles, translations and courier, are listed as not included and are payable by you.
- Formation fees are payable in advance. Refunds are given only where we can't proceed for compliance reasons, before the work is done, as set out in our refund policy. Fees aren't refundable once an entity has been filed.
6. Annual renewal
Registered agent, government and CIT-101 filing fees fall due each year on the anniversary of formation. We'll remind you in advance. If renewal fees remain unpaid, we may resign as registered agent, and the entity may be struck off the register and incur government penalties to restore it.
7. Ending the engagement
You may end the engagement at any time by writing to us, for example to transfer the entity to another registered agent. We may end it on written notice, or immediately where the law requires. Fees for work already done remain payable.
8. Confidentiality
We keep your information confidential and disclose it only as described in our privacy policy, including to competent authorities where the law requires.
9. Liability
We act with reasonable skill and care. Our liability in connection with an engagement is limited to the fees paid for that engagement in the twelve months before the claim, except where the law doesn't allow such a limit.
10. Governing law
These terms and every engagement are governed by the laws of Nevis, and the courts of Nevis have jurisdiction over any dispute.
