How a Nevis IBC works for your business

Six features of the Nevis Business Corporation Ordinance make a Nevis IBC a practical international company: it's familiar to banks, has flexible share capital, keeps its registers private, needs minimal formality, can move into or out of Nevis by continuation, and has clear tax treatment.

i.

Familiar to banks

Share certificates, registers of directors and board resolutions are what correspondent banks and counterparties expect to see.

ii.

Flexible capital

Multiple share classes, preference and redeemable shares. Well suited to co-founders, investors and family holdings.

iii.

Private registers

Registers are kept at the registered office and aren't public. Beneficial ownership is held by the agent under Nevis law.

iv.

Minimal formality

A single director and shareholder, no residency requirement, and meetings anywhere or by written consent.

v.

Continuation

Move an existing company into Nevis, or out of it, without winding up and re-forming.

vi.

Tax clarity

Tax treatment depends on residence and substance. We confirm your position in writing before incorporation, not after.

Who uses a Nevis IBC

Most Nevis IBC owners trade, invoice or hold investments, from consultants and trading companies to holding groups and families.

  • International trading and consulting companies
  • Holding companies for subsidiaries in several countries
  • Investment vehicles with more than one shareholder
  • Ownership of yachts, aircraft or real estate abroad
  • Joint ventures needing a neutral jurisdiction
  • An IBC owned by a Multiform Foundation for family holdings

Nevis IBC, answered

What's the difference between a Nevis IBC and a Nevis LLC?

An IBC is a corporation, with shares, directors and a board. An LLC has members and an operating agreement, and it carries Nevis's strongest statutory creditor protections. For trading and multi-investor companies choose an IBC. For holding personal wealth choose an LLC.

Can one person be the sole director and shareholder?

Yes. A Nevis IBC needs only one director and one shareholder, and they can be the same person.

Does a Nevis IBC pay tax?

That depends on where the company is resident and managed, and where its shareholders live. Controlled-foreign-company rules in your home country will usually apply. We confirm the position with your tax adviser before incorporation.

Can I open a bank account for a Nevis IBC?

Yes. We introduce clients to banks and EMIs that onboard Nevis corporations. Approval depends on the institution's own due diligence and a credible business profile.

Is a nominee director disclosed to banks?

Yes. Nominees are always disclosed to banks, and beneficial ownership is always recorded with the registered agent. A nominee director and secretary act under a service agreement in your favour; they provide privacy on public and commercial records, not secrecy from banks or the authorities. Not sure which package suits you? Arrange a consultation.
