Nevis Multiform Foundation formation

A foundation under the Nevis Multiform Foundations Ordinance, 2004, and one of the most adaptable entities in any jurisdiction. At formation it takes the form of a foundation, a trust, a company or a partnership, and it can change form later.

One entity, four forms

For families whose advisers, heirs and banks sit in different legal traditions, the Multiform Foundation looks familiar to each of them.

i.

Elective form

Choose to be treated as a foundation, trust, company or partnership. Pick whichever best matches your home country's recognition rules.

ii.

Changeable over time

If your family moves or the law changes, the foundation can convert without transferring its assets.

iii.

Ownerless

With no shares or members, there's nothing for a founder's creditor to seize and no interest to pass through probate.

iv.

Familiar to civil-law families

Families in Europe, Latin America and the Middle East often find a foundation easier to accept than a common-law trust.

v.

Governed by charter

A council administers it, with an optional supervisory board. By-laws can set out succession, education and distribution rules in detail.

vi.

Philanthropy

A charitable or mixed purpose can run alongside private benefit, so family giving has a permanent structure.

Typical founders

  • Families from civil-law jurisdictions planning succession
  • Founders who want an ownerless parent above an operating group
  • Families combining private benefit with charitable giving
  • Holding a family IBC or LLC across generations
  • Anyone needing a structure that can change form as their residence changes

Multiform Foundations, answered

What does "multiform" mean?

At formation the foundation elects the legal form it will take: a foundation, a trust, a company or a partnership. It can change that election later, which makes it unusually adaptable.

Foundation or trust: which should I choose?

If your heirs and advisers are in common-law countries, a trust is usually simpler. If they're in civil-law countries, where trusts can be poorly understood, a foundation is often easier to recognise and administer.

Can the founder be a beneficiary?

Yes, subject to the charter. As with a trust, protection is strongest when distributions are at the council's discretion.

Can a foundation own a company?

Yes. A common structure is a Multiform Foundation holding a Nevis IBC or LLC, which in turn holds operating or investment assets.
